End User Licence Agreement (EULA)
1. Grant of Perpetual Licence — Core Functionality
Subject to the payment of the applicable one-time licence fee and your continued compliance with this Agreement, SQRDin (the "Licensor") grants you a perpetual, non-exclusive, non-transferable, irrevocable licence to:
- Install and use the core SQRDin encryption, key management, key splitting, and key reconstruction logic ("Core Logic") on authorised hardware up to the user-seat limit specified in your tier.
- Create, store, and manage encrypted files and cryptographic keys using the Core Logic.
- Receive all patch releases (same major version) at no additional charge.
This perpetual licence to the Core Logic is not conditioned on any ongoing subscription, maintenance fee, or continued internet connectivity. It does not expire.
2. Maintenance & Support Subscription (Optional)
Separately from the perpetual core licence, SQRDin offers an optional annual Maintenance & Support subscription ("M&S Subscription"). The M&S Subscription provides:
- Access to the SQRDin Threat-Intelligence Stream — weekly curated threat feeds and ad-hoc critical-alert notifications.
- Access to all Major Build upgrades released during the subscription period.
- Priority technical support as described in the SLA.
Expiry of an M&S Subscription does not affect your perpetual right to use the Core Logic. Only access to threat-intelligence updates and new major builds is suspended upon expiry.
3. Hardware Binding & Authorised Hardware
SQRDin uses TPM 2.0 Endorsement Key and HSM serial binding to tie each licence to authorised hardware. You may activate the software on hardware specified in your licence order. Re-binding to new hardware requires contacting support. Attempts to circumvent hardware binding are a material breach of this Agreement.
4. Restrictions
You may not:
- Reverse-engineer, decompile, or disassemble the black-boxed Core Logic.
- Circumvent or tamper with the binary-integrity check or hardware-binding mechanisms.
- Sub-licence, rent, lease, or transfer the software or licence key to a third party without written consent from the Licensor.
- Clone, replicate, or deploy the software on hardware that has not been authorised under your licence tier.
- Remove or alter any proprietary notices, watermarks, or copyright statements.
5. Intellectual Property
All title, ownership rights, and intellectual property rights in the software remain exclusively with the Licensor and its contributors. This Agreement grants no rights to trade-marks, trade secrets, or source code beyond what is expressly stated herein.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LICENCE FEE ACTUALLY PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, without regard to conflict-of-law principles.
9. Entire Agreement
This EULA, together with the Service Level Agreement (SLA) and any order confirmation issued by the Licensor, constitutes the entire agreement between the parties and supersedes all prior understandings relating to the subject matter hereof.
